THE SITE AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITED ACCESS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL LIABILITY FOR ANY CLAIM EXCEED THE GREATER OF THE TOTAL AMOUNTS PAID BY YOU TO UNITED ACCESS OR $100 USD.
The limitations in this Section are a fundamental part of the basis of the bargain between you and United Access and will apply even if any limited remedy fails its essential purpose.
9. Indemnification
You agree to defend, indemnify, and hold harmless United Access and its affiliates, officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to (a) your violation of these Terms, (b) your misuse of the Site, or (c) your violation of any law or the rights of a third party. This indemnity does not apply to the extent a claim is caused by United Access’s gross negligence or willful misconduct.
United Access may, at its option, assume control of the defense and settlement of any indemnified claim, and you agree to cooperate with the defense. You may not settle any indemnified claim without United Access’s prior written consent if the settlement imposes any obligation or admission on United Access.
10. Changes to the Site and Terms
We may modify or discontinue the Site (in whole or part) at any time without notice. We may update these Terms from time to time by posting an updated version on the Site. If you do not agree to the updated Terms, your sole remedy is to stop using the Site. Your continued use of the Site after the effective date of revised Terms constitutes acceptance of the revised Terms.
We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms or applicable law.

12. Governing Law; Venue
These Terms are governed by the laws of the State of Indiana, without regard to conflict of laws principles. Except where prohibited by federal law, any dispute arising out of or relating to these Terms or the Site must be brought in the state or federal courts located in Indiana, and you consent to personal jurisdiction and venue in those courts.
YOU AND UNITED ACCESS AGREE THAT ANY CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters related to intellectual property infringement, data security, unauthorized access, or misuse of the Site.
